EMPLOYEE PROFIT SHARING PLAN TRUST

BACKGROUND

Employee profit sharing plans have been around for a long time and are not particularly unique. However, we have developed a unique approach to these plans which makes them very attractive for an owner-managed corporation in which the family wishes to reduce the total tax paid by the family and to share profits among family members.

An employee profit sharing plan trust ("EPSP trust") is an arrangement under which a business can pay a portion of its profits for the benefit of designated employees, either absolutely or contingently. The selected employees pay tax on the profits allocated to them. The employers contributions are deductible by the company as an expense.

This plan is a natural extension of the family trust and works extremely effectively along side it to maximize tax savings.
